Effective Date: 7 November 2026 Last Updated: 7 November 2026

WELCOME TO AZARLUMINA Azarlumina is an entrepreneurship transition programme created to help employed professionals develop, validate and build businesses while they are still earning a salary. We provide structured learning experiences, practical business-building guidance, cohort-based programmes, workshops, learning resources and related support designed to help participants move from employment towards entrepreneurship with greater clarity, preparation and evidence. These Terms and Conditions (“Terms”) govern your access to and participation in Azarlumina’s website, programmes, workshops, learning materials, application processes, online sessions, in-person sessions and related services (collectively, the “Services”). By accessing our website, submitting an application, registering for a programme, making a payment or participating in any of our Services, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree to these Terms, you should not register for or participate in the Services. In these Terms, “Azarlumina”, “we”, “us” or “our” refers to the business or legal entity operating the Azarlumina programme. “You”, “your” or “Participant” refers to any person who visits our website, applies for, purchases, accesses or participates in our Services. 1. ACCEPTANCE AND SCOPE OF THESE TERMS 1.1 These Terms apply to all visitors, applicants, registered participants, programme attendees and other individuals who access or use Azarlumina’s Services. 1.2 These Terms should be read together with our Privacy Policy and any programme-specific information, registration conditions, payment terms, participation guidelines or other policies published or provided by Azarlumina. 1.3 Where a programme-specific condition deals with a particular matter in greater detail, that condition will apply to that programme, provided it does not conflict with applicable Nigerian law or these Terms. 1.4 By completing a registration or payment process, you confirm that the information you provide is accurate and that you have the authority to enter into this agreement. 2. ABOUT AZARLUMINA AND THE NATURE OF OUR SERVICES 2.1 Azarlumina is an entrepreneurship transition programme designed primarily for employed professionals who want to explore, develop and build a business before making a decision to leave paid employment. 2.2 Depending on the programme or cohort, our Services may include: • Structured entrepreneurship and business-building education. • Guided learning sessions and practical exercises. • Cohort-based programmes delivered across scheduled sessions, including four-Saturday programme formats. • Online participation and in-person workshop participation. • Digital workbooks, templates and other learning resources. • Group accountability pods and peer-support activities. • Business development exercises, feedback and educational guidance. • Additional sessions, resources or experiences expressly described in a programme offer. 2.3 The precise content, format, duration, schedule, delivery method and inclusions of each programme will be described on the relevant programme page, registration materials or other official communication. 2.4 Azarlumina may refine its teaching methods, materials, facilitators, session formats or programme delivery where reasonably necessary, provided that material changes do not substantially deprive participants of the Services they purchased. 2.5 Unless expressly stated otherwise, Azarlumina is an educational and business-development programme. It is not an employment agency, recruitment service, business-incorporation service, investment scheme, lending service, franchise or guarantee of business funding. 3. ELIGIBILITY AND APPLICATIONS 3.1 You must be at least eighteen (18) years old to independently register for and participate in a paid Azarlumina programme. 3.2 Certain programmes may have additional eligibility requirements, application stages or selection criteria. These will be communicated as part of the relevant programme. 3.3 Submitting an application does not automatically guarantee admission, selection or a place in a cohort. 3.4 You agree to provide accurate, complete and current information during the application and registration process. 3.5 Azarlumina may decline an application where an applicant does not meet the published eligibility requirements, provides materially false information, engages in misconduct or where programme capacity has been reached. 3.6 Where an application is declined after payment has been accepted, Azarlumina will communicate the applicable refund or alternative arrangement, subject to the relevant programme terms and applicable law. 4. REGISTRATION, FEES AND PAYMENT 4.1 Programme fees, payment deadlines, available participation options and any applicable payment conditions will be communicated before you complete your registration. 4.2 Fees may differ depending on the selected participation route, programme, cohort or additional services. 4.3 Where a programme offers online and in-person participation, you are responsible for selecting the correct option during registration. The benefits and inclusions of each option will be stated in the relevant programme description. 4.4 Payments must be made through the payment methods and channels expressly authorised by Azarlumina. 4.5 Where Espees or another digital payment method is expressly offered, the applicable amount, payment instructions, conversion or processing arrangements and any relevant third-party payment conditions will be communicated at the point of payment. The availability of such a method does not represent a guarantee by Azarlumina concerning its exchange value, redemption, availability or operation. 4.6 A registration is considered confirmed when the required payment has been successfully received or when Azarlumina has expressly confirmed an approved alternative payment arrangement. 4.7 You are responsible for ensuring that payment details are correct and that your payment is completed successfully. Any third-party transaction charges will be disclosed where applicable. 4.8 Azarlumina will not be responsible for payment failures caused solely by a bank, payment processor, digital payment provider or other third-party service, but will make reasonable efforts to assist with the verification of disputed transactions. 4.9 Azarlumina will communicate any material change to programme fees before the change applies to a new purchase. A fee change will not retrospectively alter a confirmed purchase unless you agree to the change or the law requires otherwise. 5. PROGRAMME PARTICIPATION AND DELIVERY 5.1 Participants are expected to attend and engage with the sessions and activities included in their selected programme. 5.2 Programme dates, times, venues, online access instructions and session schedules will be communicated through official Azarlumina channels. 5.3 Participants who select online participation are responsible for having a suitable device, reliable internet access and the necessary software or access credentials for the relevant sessions. 5.4 Participants who select in-person participation must comply with the venue's reasonable safety, access and conduct requirements. 5.5 Participants are responsible for arriving on time, completing assigned exercises and making reasonable efforts to participate in programme activities. 5.6 If a participant misses a session, access to a recording, make-up session or alternative learning resource will only be provided where Azarlumina has expressly made that provision available. 5.7 Azarlumina may adjust a session time, facilitator, venue or delivery arrangement where reasonably necessary. Where a material change affects a participant's ability to receive the programme, Azarlumina will communicate the change and any reasonable alternative arrangement. 5.8 Participants must not share private access links, login credentials, paid learning materials or restricted programme resources with unauthorised persons. 6. GROUP ACCOUNTABILITY PODS AND PARTICIPANT CONDUCT 6.1 Some Azarlumina programmes may place participants in small accountability groups, sometimes referred to as “group pods”. 6.2 These groups are intended to encourage progress, collaboration, peer support, discussion and accountability during the programme. 6.3 Participants are expected to treat other participants, facilitators, employees, contractors and programme representatives with respect and professionalism. 6.4 Participants must not: • Harass, threaten, intimidate, discriminate against or abuse another person. • Disrupt programme sessions or interfere with another participant's learning. • Impersonate another person or misrepresent their identity. • Share another participant's personal information without permission. • Use group spaces for unsolicited advertising, spam or unauthorised commercial solicitation. • Publish confidential discussions, business information or personal disclosures without appropriate permission. • Share unlawful, misleading, defamatory or harmful material. • Record, distribute or reproduce programme sessions without permission, except where permitted by law. 6.5 Participants should respect the privacy of other members of their accountability pods. However, Azarlumina cannot guarantee that every participant will maintain confidentiality. Participants should therefore exercise care when sharing commercially sensitive, personal or confidential information in group settings. 6.6 Where a participant engages in serious or repeated misconduct, Azarlumina may issue a warning, restrict access to a group, remove the participant from a session or terminate participation, depending on the circumstances. 6.7 Any action taken under this section will be proportionate to the conduct involved and will not remove any rights the participant has under applicable law. 7. REFUNDS, CANCELLATIONS AND PROGRAMME CHANGES 7.1 The applicable cancellation and refund conditions for a programme will be disclosed before payment or registration is completed. 7.2 Where a participant wishes to withdraw, defer participation or request a refund, the participant should contact Azarlumina through the official contact details provided in these Terms. 7.3 A participant's change of mind, personal scheduling conflict, failure to attend or inability to participate does not automatically create a right to a refund, except where a refund or other remedy is required by the applicable programme terms or Nigerian law. 7.4 Where Azarlumina cancels a programme and does not provide a reasonably equivalent replacement, participants will be informed of the available options, which may include a transfer to another cohort or a refund of the relevant amount paid. 7.5 Where Azarlumina materially fails to provide a service that a participant has paid for, the participant may be entitled to an appropriate remedy under applicable Nigerian law. 7.6 If a programme is postponed or rescheduled, Azarlumina will communicate the revised arrangements and any available options to affected participants. 7.7 Nothing in this section excludes, restricts or removes a consumer's statutory rights or remedies under the Federal Competition and Consumer Protection Act 2018 or any other applicable law. 8. INTELLECTUAL PROPERTY AND USE OF LEARNING MATERIALS 8.1 All original programme materials, including workbooks, written content, frameworks, presentations, templates, videos, graphics, branding, course structures and other learning resources developed or supplied by Azarlumina, remain the intellectual property of Azarlumina or the relevant rights holder, except where expressly stated otherwise. 8.2 Access to a programme or payment of a programme fee grants the participant a limited, personal, non-exclusive, non-transferable and revocable licence to use the materials for their own learning and business-development activities. 8.3 Participants must not, without prior written permission: • Copy, reproduce, sell, sublicense or commercially distribute programme materials. • Republish or make learning materials publicly available. • Record, reproduce or distribute paid sessions or restricted programme content. • Use Azarlumina's name, logo, branding or proprietary materials in a way that suggests endorsement or affiliation without permission. • Create or sell a competing course or product by reproducing substantial parts of Azarlumina's protected materials. 8.4 Participants retain ownership of original business ideas, documents, work and other intellectual property they independently create, subject to the rights of any third party and any separate written agreement. 8.5 By submitting feedback, suggestions or testimonials to Azarlumina, you grant Azarlumina permission to use that material for programme improvement or promotional purposes only to the extent permitted by law and, where identifiable personal information or an identifiable testimonial is involved, subject to any required consent. 8.6 Nothing in these Terms transfers ownership of a participant's business, business idea, brand, work or intellectual property to Azarlumina. 9. PARTICIPANT RESULTS AND NO GUARANTEE OF BUSINESS SUCCESS 9.1 Azarlumina provides education, guidance, structured learning experiences and business-development support. The programme is designed to help participants make informed progress towards entrepreneurship. 9.2 Participation does not guarantee that a participant will: • Establish or successfully launch a business. • Generate a particular amount of revenue or profit. • Replace their current salary. • Obtain investment, grants, loans or other funding. • Attract customers or secure contracts. • Leave employment within a particular period. • Achieve any particular commercial or financial outcome. 9.3 Business outcomes depend on several factors, including the participant's decisions, skills, resources, execution, market conditions, competition and other circumstances outside Azarlumina's control. 9.4 Examples, case studies, testimonials and success stories are illustrative of individual experiences and should not be interpreted as a promise that another participant will achieve the same result. 9.5 Participants remain responsible for evaluating their personal circumstances and making their own employment, financial and business decisions. Azarlumina does not instruct participants to resign from employment or make any particular career decision. 10. PROFESSIONAL ADVICE AND PARTICIPANT RESPONSIBILITY 10.1 Unless expressly stated in writing, Azarlumina's educational content is not a substitute for individual legal, accounting, tax, financial, investment, regulatory or other professional advice. 10.2 Participants should obtain appropriate professional advice before making decisions involving business registration, taxation, employment obligations, contracts, financing, regulatory approvals or other matters requiring specialist advice. 10.3 Participants are responsible for ensuring that their proposed business activities comply with applicable Nigerian laws, licensing requirements, tax obligations and regulatory standards. 10.4 Azarlumina does not act as a participant's lawyer, accountant, investment adviser, employer, business partner or agent merely because the participant attends a programme or receives educational guidance. 11. PRIVACY AND PERSONAL DATA 11.1 Azarlumina may collect personal information provided during website visits, applications, registration, payment, programme participation and communication with us. 11.2 Personal data may include names, contact details, professional information, application responses, attendance records, payment confirmation information, communications and other information reasonably required to administer the Services. 11.3 We process personal data for legitimate and disclosed purposes, including: • Reviewing applications and administering registrations. • Delivering programmes and communicating programme information. • Managing payments and participant records. • Providing learning resources and participant support. • Maintaining security and preventing misuse. • Meeting legal, regulatory and contractual obligations. • Improving our programmes and services. 11.4 Personal data will be handled in accordance with the Nigeria Data Protection Act 2023 and our Privacy Policy. 11.5 We may use third-party service providers for website hosting, communications, online sessions, payment processing, analytics and programme administration. Where these providers process personal data on our behalf, we will take reasonable steps to ensure that appropriate data-protection arrangements are in place. 11.6 We will not treat acceptance of these Terms as blanket consent to receive unrelated marketing communications. Where consent is the appropriate legal basis for direct marketing, you may withdraw that consent or opt out. 11.7 Participants may exercise applicable data-protection rights by contacting us through the details in these Terms. 11.8 Further information about the personal data we collect, our legal bases for processing, retention periods, data sharing, international transfers and participant rights is provided in our Privacy Policy. 12. PHOTOGRAPHY, RECORDINGS AND TESTIMONIALS 12.1 Certain in-person or online programme sessions may involve photography, video recording or audio recording for educational, administrative, security or documentation purposes. 12.2 Where Azarlumina intends to use an identifiable participant's image, voice, testimonial or personal story for public promotional purposes, we will obtain any consent required by applicable law. 12.3 Participants must not record, photograph, livestream or distribute another participant's image, voice, presentation or contribution without appropriate permission. 12.4 A participant may decline promotional use of their identifiable image or testimonial without that refusal, by itself, affecting their right to participate in the programme. 13. THIRD-PARTY PLATFORMS AND SERVICES 13.1 Azarlumina may use third-party websites, payment providers, video-conferencing platforms, communication tools and other services to deliver or support its programmes. 13.2 Third-party services may be subject to their own terms, privacy policies and operational conditions. 13.3 Azarlumina is not responsible for independent decisions, outages, security incidents or failures attributable solely to a third-party provider, but this does not exclude any responsibility Azarlumina has under applicable law or for matters within its reasonable control. 13.4 Participants are responsible for complying with the applicable terms of any third-party platform they choose or are required to use. 14. WEBSITE AVAILABILITY AND DISCLAIMERS 14.1 We make reasonable efforts to keep our website, registration processes and online programme resources accessible and functional. 14.2 We do not guarantee that our website or third-party platforms will operate without interruption, delay, technical error or temporary unavailability. 14.3 Information on our website is intended to describe our programmes and Services accurately. Programme details may be updated where reasonably necessary, and material changes affecting a confirmed purchase will be communicated to affected participants. 14.4 Nothing in these Terms excludes any warranty, consumer right or legal obligation that cannot lawfully be excluded under Nigerian law. 15. LIMITATION OF LIABILITY 15.1 Azarlumina will be responsible for its obligations under these Terms and applicable Nigerian law. 15.2 To the extent permitted by law, Azarlumina will not be responsible for losses arising solely from: • A participant's independent business decisions or commercial activities. • A participant's failure to implement learning or guidance provided. • A participant's failure to comply with applicable laws or third-party obligations. • Disruptions caused by circumstances beyond Azarlumina's reasonable control. • A third-party platform's independent acts or omissions. 15.3 Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, wilful misconduct, negligence where liability cannot lawfully be excluded, or any other liability that cannot legally be limited or excluded. 15.4 Nothing in these Terms removes a participant's right to seek an appropriate remedy where Azarlumina fails to provide a service in accordance with applicable consumer-protection law. 16. INDEMNIFICATION 16.1 You are responsible for losses, claims or liabilities directly caused by your unlawful conduct, infringement of another person's rights or material breach of these Terms. 16.2 Where a claim arises from your conduct, you agree to cooperate reasonably with Azarlumina in addressing the claim. 16.3 This section does not require you to indemnify Azarlumina for Azarlumina's own negligence, fraud, unlawful conduct or breach of obligations where such an indemnity would be prohibited by applicable law. 17. SUSPENSION AND TERMINATION 17.1 Azarlumina may suspend or terminate a participant's access to a programme or related Services where there is reasonable evidence of serious misconduct, fraud, unlawful activity, unauthorised distribution of protected materials, non-payment or a material breach of these Terms. 17.2 Where reasonably practicable, Azarlumina will notify the participant of the issue and provide an opportunity to respond before taking action. Immediate action may be taken where necessary to protect participants, staff, programme materials or the integrity of the programme. 17.3 Where access is terminated, any refund or other remedy will be determined in accordance with the relevant programme conditions and applicable law. 17.4 Participants may request to withdraw from a programme by contacting Azarlumina. Withdrawal does not automatically entitle a participant to a refund, except where required by the applicable programme conditions or law. 18. EVENTS BEYOND OUR REASONABLE CONTROL 18.1 Azarlumina will not be treated as having breached these Terms where performance is prevented or materially delayed by circumstances beyond its reasonable control, including severe weather, public emergencies, government restrictions, civil unrest, major infrastructure failures or widespread disruption of essential services. 18.2 Where such circumstances affect a programme, Azarlumina will make reasonable efforts to notify affected participants and communicate an appropriate alternative arrangement. 18.3 This section does not remove any refund or other consumer remedy required by applicable Nigerian law. 19. GOVERNING LAW AND DISPUTE RESOLUTION 19.1 These Terms are governed by the laws of the Federal Republic of Nigeria. 19.2 If you have a complaint or dispute concerning our Services, you should first contact Azarlumina so that we have a reasonable opportunity to understand and address the issue. 19.3 Where appropriate, the parties may attempt to resolve a dispute through good-faith discussions or mediation. 19.4 Where a dispute cannot be resolved informally, either party may pursue the remedies available before a court or other competent authority with jurisdiction in Nigeria. 19.5 Nothing in this section prevents a participant from exercising a statutory right to make a complaint to the Federal Competition and Consumer Protection Commission or another competent Nigerian regulator. 20. CHANGES TO THESE TERMS 20.1 Azarlumina may update these Terms to reflect changes in its programmes, operations, services or applicable law. 20.2 The latest version will be published on our website with an updated “Last Updated” date. 20.3 Where a change materially affects the rights or obligations of an existing participant, we will take reasonable steps to notify that participant. 20.4 Changes will not retrospectively remove rights already accrued or override a statutory protection. 21. GENERAL PROVISIONS 21.1 Entire Agreement These Terms, together with the Privacy Policy and applicable programme-specific conditions, form the agreement between you and Azarlumina concerning the relevant Services. 21.2 Severability If a provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. 21.3 No Waiver A failure or delay by Azarlumina to enforce a provision does not amount to a waiver of that provision. 21.4 No Transfer You may not transfer your registration or rights under a programme to another person without Azarlumina's prior written approval. 21.5 Independent Relationship Participation in an Azarlumina programme does not create an employment relationship, partnership, joint venture, agency, franchise or fiduciary relationship between Azarlumina and a participant. 21.6 No Third-Party Rights Except where applicable law provides otherwise, these Terms do not create enforceable rights in favour of a person who is not a party to the agreement. 22.
